Litigation Services

      With extensive court and jury trial experience, we can offer you strong, efficient litigation services. If you have a personal injury claim, been sued or are contemplating a law suit, come meet with us. We have litigation experience in personal injury, real estate, construction, business, sexual harassment, probate and estates, as well as many other areas. We also handle administrative cases involving government agencies, such as the Contractor’s State License Board (CSLB), and the Department of Fair Employment and Housing (DFEH).

      We offer a free initial consultation on all litigation matters. We will give you an honest opinion, based upon the information you provide, about the case and the likely cost and outcome.  For many claims, you have only a limited time within which to resolve the matter or file a claim or law suit. This time limit, in some situations, can be as short as thirty days, or as long as ten years. If you have been sued, you only have thirty days to file a formal response, which must include many important features to effectively protect you.  Some cases naturally require extensive investigation before we can give you a reliable opinion.

     Good people often don’t feel the need for a partnership agreement at the beginning of a business relationship. People are hopeful and positive, and everyone is cooperating. Its hard to see a need to “get legal” about a deal then, and hard to want to spend the money. 

      The need is most often felt once trouble arises. Its then you learn that memories and opinions  differ  about  what you meant when you started. Suddenly one party wants out. What are your rights? Who gets to buy out who and how is the price set? What if partners put up different amounts of money and what about “sweat equity”?

      A well written, clear agreement can provide guidance during these times. It is easier to make an agreement covering important issues when you are looking ahead rather than when you are having difficulties.

Well written agreements among business partners help prevent future disputes, and an ounce of protection (advance planning) can avoid that proverbial “pound of cure” (disputes and law suits).

Some things to consider when you are starting a business with another person include:

1. Who puts up money and how much?
2. What to do if more money is needed later?
3. Who has authority to bind the company to debt or other obligations?
4. How are debts and profits shared - what if the profits are not enough to pay debts?
5. How soon can a ‘partner’ leave or sell his or her interest?
6. Does the remaining ‘partner’ have the first right to buy?
7. How is the purchase price determined?
8. Who owns the business name and phone number if we split up?

The law supplies answers to some of these questions (and others) in many cases, but you may not like the answer. A well-written agreement can make certain you get what you really want.
